Terms and Conditions

These Terms and Conditions ("Terms") govern your use of merakiops.com (the "Site"), which is operated by Merakiops LLC, a limited liability company organised under the laws of the State of Wyoming, United States ("Merakiops", "we", "us").

By using the Site you agree to these Terms. If you do not agree, please do not use the Site.

1. Who the Site is for

Merakiops is an AI automation agency that works with businesses, in particular marketing agencies. The Site is intended for people acting on behalf of a business. It is not intended for consumers or for anyone under 18. By using the Site you confirm that you are at least 18 and are using it for business purposes.

2. What the Site is, and what it is not

The Site provides general information about Merakiops and our services, lets you book a call, and lets you subscribe to our newsletter.

Nothing on the Site is an offer that can be accepted to form a contract for services. Any services we provide are governed only by a separate written agreement signed by Merakiops and the client. If there is a conflict between these Terms and a signed agreement, the signed agreement prevails.

Content on the Site, in our newsletter and in any resources we publish is general information only. It is not legal, tax, financial or other professional advice, and you should not rely on it as a substitute for advice specific to your business.

3. Testimonials, case studies and results

Testimonials and case studies on the Site reflect the experience of the specific clients concerned. Results depend on many factors particular to each business, including its systems, data, team and market. They are not a promise or guarantee that you will achieve the same or similar results.

4. Intellectual property

The Site and everything on it, including text, graphics, designs, logos, videos, workflows, templates, code and the selection and arrangement of that content ("Content"), is owned by Merakiops or its licensors and is protected by copyright, trademark and other laws. "Merakiops" and our logos are our marks. All rights are reserved.

You may view the Site and share links to it for your own internal business purposes. You may not, without our prior written permission:

• copy, reproduce, republish, distribute, sell, license or create derivative works from any Content;
• use any Content for a commercial purpose, including in your own marketing or services;
• remove any copyright or other proprietary notice;
• scrape, crawl or harvest the Site by automated means, other than public search engines indexing it in the ordinary way; or
• use any Content to train, fine-tune or evaluate a machine-learning or artificial-intelligence model.

5. Acceptable use

You agree not to:

• use the Site in any way that breaks a law or regulation;
• submit false, misleading or another person's information through our forms or booking page;
• send spam or unsolicited promotions through our forms;
• attempt to gain unauthorised access to the Site, its servers or any connected system;
• introduce malware, or interfere with or disrupt the Site or its security features; or
• impersonate Merakiops or suggest an affiliation with us that does not exist.

We may block or restrict access to the Site for anyone who breaches these Terms.

6. Booking a call

Calls are booked through a third-party scheduling tool. Booking a call does not create a client relationship or any obligation on either side. We record and transcribe our calls for quality purposes, as described in our Privacy Policy. If you do not want a call to be recorded, tell us before or at the start of the call.

7. Newsletter and communications

If you subscribe to our newsletter, we will email you until you unsubscribe, which you can do at any time using the link in any email. If you give us your phone number, we may call you about your enquiry, and we will text you only with your consent. You can opt out of texts at any time by replying STOP. 8. Feedback and submissions

If you send us ideas, suggestions or feedback about the Site or our services, you agree that we may use them without restriction or payment. Please do not send us confidential information through the Site; information you submit before a signed agreement is in place is not treated as confidential, although personal information is always handled under our Privacy Policy.

9. Third-party links and tools

The Site links to and uses third-party websites and tools, such as our scheduling page and social media platforms. We do not control them and are not responsible for their content, availability or practices. Your use of them is governed by their own terms and policies.

10. Privacy

Our Privacy Policy explains how we collect and use personal information, including cookies, and forms part of these Terms.

11. Disclaimers

The Site and its Content are provided "as is" and "as available". To the fullest extent permitted by law, Merakiops disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Site will be uninterrupted, secure or free of errors, or that Content is complete or current. We may change, suspend or withdraw any part of the Site at any time without notice.

12. Limitation of liability

To the fullest extent permitted by law:

• Merakiops, its members, officers, employees and contractors are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or in connection with the Site or these Terms; and
• our total liability for all claims arising out of or in connection with the Site or these Terms is limited to one hundred US dollars (USD 100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law. Liability under a signed services agreement is governed by that agreement and not by this section.

13. Indemnity

You agree to indemnify and hold harmless Merakiops, its members, officers, employees and contractors from any claims, losses, liabilities, costs and expenses, including reasonable attorneys' fees, arising out of your breach of these Terms or your misuse of the Site or its Content.

14. Governing law and jurisdiction

These Terms, and any dispute arising out of or in connection with them or the Site, are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws rules. The state and federal courts located in Natrona County, Wyoming have exclusive jurisdiction, and you submit to the personal jurisdiction of those courts.

15. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new effective date and applies from the date it is posted. By continuing to use the Site after that date, you accept the updated Terms.

16. General

If any provision of these Terms is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign your rights under these Terms; we may assign ours. These Terms, together with the Privacy Policy, are the entire agreement between you and Merakiops about your use of the Site.
